HIS has decided to acquire shares in American Ring Travel, Inc. (ART) based in California, USA through its consolidated subsidiary Jonview, thereby making ART a subsidiary of the group. This move is part of a strategy to strengthen the company's business foundation in North America and enhance the corporate value of the entire group.

Jonview Inc. will acquire 4,845 shares.representing 100% of ART's issued shares, from existing shareholders for $1.675 million (approximately 269 million yen). The contract signing and share transfer are scheduled for mid-September 2026, and ART is expected to become a consolidated subsidiary of HIS during the fiscal year ending October 2027.

Since its establishment in 1983, ART has operated as an inbound tour operator specializing in travel to North America. Based in Valencia, California, it operates on a B2B basis, arranging and developing travel products, including accommodations, national park visits, city stays, escorted motorcoach tours, cruises, and group or incentive travel, for overseas travel agencies serving the U.S. and Canadian markets.

The HIS Group is expanding its global travel operations and strengthening its arrangements and customer-handling capabilities in North America. Through the acquisition, the Group aims to generate synergies such as the mutual utilization of customer bases with its existing North American operations and the joint operation of tours.
