ANA Holdings (ANA HD) signed a basic agreement with Regional Plus Wings holding Hokkaido-based AIR DO and Kyushu-Based Solaseed Air under its business umbrella to start discussing about making the two regional airlines 100% subsidiaries of ANA HD.
For a 100% subsidiaries, a share exchange is planned in which ANAHD will become the wholly-owning parent company and Regional Plus Wings will become the wholly-owned subsidiary. The effective date is expected to be April 1, 2027. This is contingent upon the execution of a definitive agreement, the receipt of necessary corporate approvals from both companies, and the completion of all legally required procedures.
The environment surrounding the domestic aviation market is becoming increasingly challenging, driven by factors such as shifting demand structures, the prolonged weakness of the yen, rising prices, escalating operational costs, including fuel and labor expenses—and a severe shortage of human resources.
A key management priority for both AIRDO and Solaseed Air is to strengthen their medium- to long-term business and revenue foundations, while establishing a clear path toward the maintenance and development of a sustainable domestic aviation network.
To increase operational flexibility for individual airlines, regulations concerning equity investments by major carriers in certain existing airlines, including AIRDO and Solaseed Air, were abolished in May 2026.
The ANA Group has built a cooperative relationship with them, involving capital ties and code-sharing arrangements.
For the time being, while maintaining the individual brands of AIRDO and Solaseed Air, ANA HD will pursue collaboration and the integration of functions across areas such as business planning, revenue management, procurement, and the development and maintenance of facilities.
As part of a medium-term strategy, ANA HD will consider the possibility of integrating their operations into the ANA brand in the future.
